1. About Celebrate & Gift
Celebrate & Gift, also referred to as “C&G,” “we,” “us” or “our,” operates an online gifting and celebration-products platform serving customers primarily within the Greater Toronto Area in Ontario.
Products may be prepared, supplied, arranged or packaged by approved independent local vendors.
C&G manages the customer-facing transaction, which may include:
- Website and product presentation
- Product pricing
- Online ordering
- Payment collection
- Customer communication
- Vendor coordination
- Customer service
- Delivery coordination
- Refunds, replacements and complaint resolution
Customers who order through C&G should contact C&G regarding their orders rather than contacting the vendor or delivery driver unless C&G specifically instructs them to do so.
2. Eligibility
You must have the legal capacity to enter into a binding agreement to place an order.
If you place an order on behalf of another person, company or organization, you confirm that you have authority to act on its behalf.
You must not use the website or place an order for an unlawful, fraudulent or unauthorized purpose.
3. Customer and Recipient Information
You must provide accurate, complete and current information when placing an order.
This includes:
- Purchaser’s name
- Purchaser’s telephone number
- Purchaser’s email address
- Recipient’s name
- Recipient’s telephone number
- Complete delivery address
- Unit or apartment number
- Buzzer or access information
- Delivery date or window
- Product selection

You are responsible for reviewing this information before submitting the order.
Incorrect, incomplete or outdated information may result in:
- Preparation errors
- Delivery delays
- Failed delivery

- Replacement costs
- Cancellation
- Loss of eligibility for a refund where the problem was caused by the incorrect information
4. Products and Availability
All products are subject to availability.
Products may contain fresh, seasonal, handmade, personalized, perishable or vendor-supplied components.
Product availability may depend on:

- Delivery location
- Vendor operating hours
- Peak-season capacity
Submitting an order does not guarantee that every selected product is available.
If a product becomes unavailable, C&G may:
- Contact the customer for instructions.
- Offer an appropriate substitution.
- Remove the unavailable product.
- Delay fulfillment with the customer’s agreement.
- Cancel the affected product or order and issue the applicable refund.
5. Product Descriptions and Images
C&G attempts to present products accurately.
Product photographs are provided for identification, illustration and presentation purposes.
Flowers, arrangements, fruit, baked goods, handmade products, gift baskets, containers, wrapping, ribbons and decorative materials may reasonably vary in:
- Colour
- Shape
- Size
- Arrangement
- Placement
- Packaging
- Presentation
Lighting, photography and screen settings may also affect how colours appear.
Minor variations that do not materially reduce the product’s quality, stated contents, intended use or overall value are not normally considered defects.
Staging materials and decorative items appearing in photographs are not included unless the product description states that they are included.
6. Product Substitutions
Local and seasonal product availability may change after an order is placed.
C&G may make a minor substitution using an item of comparable or greater quality and value while attempting to preserve the product’s overall:
- Style
- Theme
- Purpose
- Quality
- Value
C&G will seek customer approval before making a material substitution that changes an essential feature, such as:
- Principal product type
- Major brand
- Flavour
- Product size
- Theme
- Personalization
- Important product component
We will not knowingly make a substitution that conflicts with an allergy or dietary instruction expressly accepted by C&G.
If a material substitution is necessary and the customer cannot be reached, C&G may delay or cancel the affected product and issue an appropriate refund.
7. Prices and Currency
Unless otherwise stated, all prices are displayed in Canadian dollars.
The following may be added to the displayed product price and will be disclosed during the ordering process where applicable:
- Delivery charges
- Customization charges
- Service charges
- Same-day or priority-delivery charges
- Applicable taxes
- Other clearly disclosed charges
C&G may change prices at any time before an order is placed.
A price change will not normally affect an order already accepted and paid for.
If an obvious pricing or listing error occurs, C&G may contact the customer to:
- Confirm the correct price;
- Modify the order with the customer’s agreement; or
- Cancel the affected product or order and refund the amount paid.
8. Taxes
Applicable federal and provincial taxes will be calculated and displayed during checkout where required.
The tax treatment of products, delivery charges and other fees may differ according to applicable tax rules.
The customer is responsible for reviewing the final order total before completing payment.
9. Order Submission and Acceptance
Submitting an order through the website is an offer to purchase the selected products and services.
An automated order confirmation acknowledges receipt of the order. It does not necessarily mean the order has been accepted for fulfillment.
Before accepting or fulfilling an order, C&G may verify:
- Payment authorization
- Product availability
- Vendor availability

- Delivery feasibility
- Customer information
- Recipient information
- Personalization details
- Fraud or security concerns
C&G may decline or cancel an order where reasonably necessary.
Reasons may include:
- Product unavailability
- Vendor inability to fulfill the order
- Unsupported delivery address
- Insufficient preparation time
- Payment failure
- Suspected fraud or unauthorized payment
- Obvious pricing or listing error
- Safety or allergy concern
- Violation of these Terms
- Unlawful or inappropriate gift-message content
If C&G cancels a paid order, the refundable amount will normally be returned to the original payment method.
10. Payment Authorization
Payment is generally required when an order is placed.
By providing payment information, you confirm that:
- The information is accurate.
- You are authorized to use the selected payment method.
- C&G and its payment processor may charge the total displayed at checkout.
- The payment processor may perform fraud-prevention and authorization checks.
Payment-card information may be collected and processed by third-party payment processors. C&G does not necessarily receive or store complete payment-card details.
An order may be delayed, declined or cancelled if payment cannot be authorized or appears fraudulent.
11. Order Confirmation and Electronic Records
After an order is placed, C&G will normally send an electronic confirmation to the email address provided by the customer.
The confirmation may include:

- Quantity
- Personalization details

- Recipient information
- Delivery address
- Delivery date or window
- Charges and taxes
- Final total

The customer is responsible for reviewing the confirmation and promptly reporting errors.
You consent to receiving order confirmations, receipts, delivery updates, tracking information, service notices and other transaction-related communications electronically.
Marketing communications are subject to separate consent requirements and our Privacy Policy.
12. Customized and Personalized Products
Certain products may be customized or personalized.
The customer is responsible for reviewing:
- Names
- Initials
- Messages
- Dates
- Photographs
- Colours
- Product selections
- Spellings
- Other customization instructions
C&G and its vendors may rely on the information submitted with the order.
Once sourcing, preparation or personalization begins, changes or cancellations may not be possible.
C&G is not responsible for an error reproduced exactly from information submitted or approved by the customer.
This does not limit responsibility for an error introduced by C&G or its vendor.
13. Gift Messages and Submitted Content
Customers may submit gift messages, personalization text, photographs or other content connected with an order.
You must have the right to submit and use that content.
You must not submit content that is:
- Unlawful
- Threatening
- Harassing
- Discriminatory
- Defamatory
- Obscene
- Fraudulent
- Infringing
- Invasive of another person’s privacy
- Otherwise reasonably inappropriate
C&G may refuse, remove or cancel content or an order that violates these requirements.
You remain responsible for the content you submit.
You grant C&G and the relevant vendor a limited permission to use submitted content only as reasonably necessary to prepare, personalize and fulfill the order.
14. Delivery Service Areas
C&G provides or coordinates delivery within designated service areas.
Available locations, fees, dates and delivery windows may depend on:
- Delivery address
- Vendor location
- Product type
- Preparation time
- Driver availability
- Delivery distance
- Weather
- Traffic
- Holidays
- Peak-season capacity
- Other operational conditions
Displaying a delivery option does not guarantee that delivery is available until the order and delivery details have been reviewed and accepted.
C&G may decline or cancel delivery to an unsupported or unsafe location.
15. Delivery Dates and Windows
Delivery dates and delivery windows are estimates unless C&G expressly confirms a guaranteed service in writing.
C&G will make reasonable efforts to deliver within the selected or communicated window.
The customer should not rely on an exact delivery time unless it has been expressly guaranteed.
Where possible, C&G may provide delivery-status updates or a tracking link by text message or email.
Tracking information and estimated arrival times may change because of traffic, weather, route adjustments, vendor delays and other operational conditions.
16. Same-Day and Priority Delivery
Same-day or priority delivery may be available for selected:
- Products
- Vendors
- Locations
- Order times
- Delivery dates
Displaying a same-day option does not guarantee availability until C&G confirms that the product can be prepared and delivered.
Same-day availability may change based on:
- Order cutoff times
- Order volume
- Product preparation time
- Vendor capacity
- Driver availability
- Delivery distance
- Weather
- Traffic
- Peak periods
C&G may contact the customer to offer another delivery date or cancel and refund an order that cannot reasonably be delivered as requested.
17. Recipient Contact and Delivery Authorization
The customer authorizes C&G and its delivery partners to contact the purchaser or recipient where reasonably necessary to:
- Confirm the address
- Obtain building access
- Coordinate delivery
- Locate the recipient
- Provide a delivery update
- Resolve a delivery problem
The customer is responsible for ensuring that they have permission to provide the recipient’s contact and delivery information.
Recipient information must not be provided for an unlawful, deceptive, harassing or harmful purpose.
18. Recipient Availability and Failed Delivery
The purchaser is responsible for ensuring that the recipient is willing and able to receive the order.
Delivery may fail when:
- The address is incorrect or incomplete.
- A unit number is missing.
- Buzzer or access information is missing.
- The recipient’s telephone number is incorrect.
- The recipient cannot be contacted.
- The recipient is unavailable.
- The recipient refuses delivery.
- Building or security restrictions prevent access.
- No safe or authorized drop-off location is available.
C&G or the driver may attempt to contact the recipient and purchaser.
Where appropriate, C&G may arrange:
- Redelivery
- Return to the vendor
- Customer pickup
- Temporary holding
- Safe disposal of a perishable product
Additional waiting, return, replacement or redelivery charges may apply when the failed delivery was caused by information or circumstances attributable to the customer or recipient.
Perishable, personalized or made-to-order products may not be refundable following such a failed delivery.
19. Safe Drop and Proof of Delivery
Where reasonably safe and authorized, an order may be left:
- At the delivery address
- At the door
- With a concierge
- With building security
- With another authorized person
- In another location specified by the customer or recipient
Certain products may not be suitable for unattended delivery, including:
- Perishable food
- Flowers in extreme weather
- Temperature-sensitive products
- High-value products
- Products requiring direct receipt
C&G and its delivery partners may record proof of attempted or completed delivery, including:
- Delivery time
- GPS location
- Delivery photograph
- Recipient name
- Driver notes
- Telephone-call attempts
- Safe-drop location
Delivery photographs should focus on the delivered product and location and should avoid unnecessary personal information.
20. Delivery Delays
Delivery may be affected by:
- Traffic
- Severe weather
- Road closures
- Accidents
- Vehicle problems
- Vendor delays
- Building-access issues
- Emergencies
- Events outside C&G’s reasonable control
C&G will make reasonable efforts to communicate material delays and complete delivery as soon as reasonably possible.
A delay does not automatically entitle the customer to a full refund.
The available remedy will depend on:
- Length of the delay
- Cause of the delay
- Product condition
- Whether the order remains useful for its stated occasion
- Whether a guaranteed service was purchased
- Applicable legal rights
21. Changes and Cancellations

A change or cancellation is not approved until C&G confirms it.
Changes or cancellations may not be available once:
- The vendor has accepted the order.
- Product sourcing has started.
- Preparation has begun.
- Flowers or perishable products have been purchased or prepared.
- Personalization has begun.
- A driver has been assigned.
- The order has been dispatched.
- Another non-recoverable cost has been incurred.
Cancellation and refund decisions will be governed by the Refund, Cancellation & Replacement Policy and applicable law.
22. Refunds, Replacements and Damaged Products
Fresh flowers, food, personalized gifts, custom products and other perishable or made-to-order products may not be suitable for ordinary returns.
Contact C&G promptly if an order arrives:
- Materially damaged
- Materially incorrect
- Defective
- Incomplete
- In an unacceptable condition
The customer may be asked to provide:
- Order number
- Description of the problem
- Photographs of the product
- Photographs of the packaging
- Other information reasonably needed to assess the issue
Depending on the circumstances, C&G may provide:
- Correction
- Replacement
- Redelivery
- Partial refund
- Full refund
- Another appropriate resolution
Refunds, cancellations, returns and replacement decisions are governed by the Refund, Cancellation & Replacement Policy and applicable law.
23. Flowers and Perishable Products
Flowers, fruit, cakes, food, sweets and certain gift products are perishable.
Product condition and lifespan may be affected by:
- Temperature
- Weather
- Transportation
- Handling
- Storage
- Recipient availability
- Care after delivery
Customers and recipients should follow any care, refrigeration, storage or consumption instructions provided with the product.
C&G is not responsible for deterioration caused by improper handling, storage or care after successful delivery.
This does not limit responsibility for a product that was already materially damaged, spoiled, unsafe or defective when delivered.
24. Food, Allergies and Dietary Requirements
Products may contain or come into contact with:
- Peanuts
- Tree nuts
- Milk
- Eggs
- Wheat
- Gluten
- Soy
- Sesame
- Sulphites
- Other allergens
Products may be manufactured, packaged or prepared in facilities that handle common allergens.
Customers must review available ingredient and allergen information and communicate a serious allergy before ordering.
Unless expressly confirmed in writing for the particular order, customers must not assume that a product is:
- Allergen-free
- Free from cross-contact
- Suitable for a particular medical condition
- Prepared in a dedicated allergen-free facility
Do not consume a product that appears tampered with, spoiled, unsafe, incorrectly labelled or inconsistent with an accepted allergy instruction.
25. Third-Party Vendors
Some products are prepared or supplied by independent local vendors.
Vendor involvement may affect:
- Availability
- Preparation time
- Product characteristics
- Packaging
- Pickup readiness
- Substitution options
C&G remains the customer’s primary contact for orders placed through CelebrateAndGift.com.
Customers should not be required to pursue a vendor or driver to resolve a C&G order complaint.
C&G may communicate with a vendor or delivery partner as necessary to investigate and resolve the issue.
26. Promotions and Discount Codes
Promotions, coupons, discount codes, free-delivery offers and other special offers may have:
- Expiration dates
- Geographic restrictions
- Minimum-purchase requirements
- Product exclusions
- Vendor exclusions
- Delivery exclusions
- Usage limits
- Separate promotional terms
Unless expressly stated otherwise:
- Promotions cannot be exchanged for cash.
- Offers cannot be combined.
- One promotional code may be permitted per order.
- Promotional value may be allocated proportionally across eligible products.
- Promotions may be modified or withdrawn before an order is completed.
Any modification remains subject to applicable law and will not normally affect an already accepted and paid order.
27. Corporate and Bulk Orders
Corporate, event and bulk orders may require:

If customer accounts are available, you are responsible for:

- Restricting unauthorized access to your device
- Reviewing activity under your account
- Notifying C&G of suspected unauthorized use
C&G may suspend or restrict an account where reasonably necessary to protect customers, prevent fraud, investigate misuse or secure the website.
29. Product Reviews and Feedback
If C&G allows reviews, photographs, testimonials or feedback, submitted content must reflect the customer’s genuine experience.
Reviews must not contain:
- False or misleading statements
- Confidential information
- Personal information about another person
- Discriminatory or abusive language
- Unlawful content
- Spam
- Undisclosed commercial promotion
- Content unrelated to the product or service
C&G may moderate or remove content that violates these requirements.
C&G will not remove a genuine negative review merely because it is critical.

C&G may maintain, update, modify, suspend or discontinue part of the website where reasonably necessary.
If a website error materially affects an order, C&G will review the issue and provide any remedy required under the applicable order terms and law.
36. No Unlawful Exclusion of Consumer Rights

- Major transportation disruption
- Road closures
- Government restrictions

- Labour disruption
- Public emergencies

C&G will make reasonable efforts to:

- Offer a reasonable alternative where available; and
- Provide any remedy required by applicable law.
39. Indemnity for Misuse
To the extent permitted by law, you agree to be responsible for reasonable losses, claims and costs directly resulting from your unlawful use of the website, fraudulent order, infringement of another person’s rights or material violation of these Terms.
This section does not make a consumer responsible for losses caused by C&G, its vendors, delivery partners or service providers.
40. No Waiver
If C&G does not immediately enforce a provision of these Terms, that does not mean C&G has waived the provision or the right to enforce it later.
Any waiver must be clear and applies only to the specific matter for which it was given.
41. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed only to the extent necessary.
The remaining provisions will continue to apply where legally permitted.
42. Changes to These Terms
C&G may update these Terms prospectively.
The current version will be posted on CelebrateAndGift.com with the applicable effective or “Last updated” date.
The version presented or linked to the customer when an order is placed will generally apply to that order, subject to mandatory legal requirements.
A later change will not normally alter an already accepted order unless:
- The customer agrees;
- The change benefits the customer;
- The change is required by law; or
- The original terms expressly and lawfully allow the change.
43. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.
Nothing in these Terms prevents a consumer from relying on a jurisdiction, right or remedy available under applicable consumer-protection legislation.
